1. Acceptance of Terms

By accessing kelviontech.in, submitting a contact enquiry, accepting a project proposal, or making any payment to KELVION TECH, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

KELVION TECH (Kelviontech) provides professional software engineering services including, but not limited to:

• Custom Web Application Development — full-stack web platforms, client portals, dashboards, and SaaS products.
• Mobile Application Development — iOS and Android cross-platform applications (React Native).
• Cloud & Backend Engineering — scalable REST APIs, database architecture, and backend systems.
• Cloud Deployment & DevOps — containerized deployments, CI/CD pipelines, server infrastructure management.
• Business Automation & AI Integration — workflow automation and AI/LLM-powered product features.
• Technical Architecture & Consulting — advisory, audits, and technical strategy.
• Product & UI/UX Design — interface design, prototyping, and design systems.

We also develop and operate proprietary software products (Jamanvar and Vartalaap), each with its own terms of service published on the respective product domain. Services are delivered digitally — see our Shipping & Delivery Policy for details.

3. Engagement Process, Proposals & Payment Terms

3.1 Project Proposal & Scope

All client engagements begin with a written proposal or Statement of Work (SoW) setting out the agreed scope, deliverables, technology stack, and timeline. Work does not begin until both parties have confirmed the proposal in writing (email confirmation is sufficient).

3.2 Pricing & Currency

• All fees are quoted and invoiced in Indian Rupees (INR).
• Project pricing is scoped individually based on technical complexity, timeline, and resource requirements. Indicative engagement models are published on our Services page.
• Applicable Goods and Services Tax (GST), if any, will be stated at the quotation stage and added to the invoice.

3.3 Milestone Payments

• Projects are structured around defined milestones. Each milestone has an associated payment due upon delivery and acceptance of that milestone's outputs.
• A typical milestone structure: 30% advance (project initiation), 40% mid-project (on delivery of core module), and 30% on final delivery and handoff. Exact percentages are specified in the project SoW.
• Invoices are due within 7 calendar days of issue unless otherwise agreed in the SoW. Overdue payments may attract a late fee of 1.5% per month.

3.4 Scope Changes

Requests for changes outside the agreed scope ("change requests") will be scoped, priced, and confirmed in writing before implementation. We do not absorb scope creep into existing milestone budgets.

4. Intellectual Property Rights

4.1 Client Deliverables

Upon receipt of full payment for a completed milestone, intellectual property rights for the custom deliverables produced for that milestone transfer to the client, unless otherwise specified in the project SoW.

4.2 KelvionTech Proprietary Assets

The KelvionTech brand, logo, this website, all proprietary internal tooling, boilerplate code, frameworks, libraries, and documentation developed independently by KELVION TECH remain its exclusive intellectual property. No engagement transfers rights to these assets unless explicitly agreed in writing.

4.3 Third-Party & Open-Source Components

Deliverables may incorporate open-source libraries and third-party components, each subject to their respective licences. We document significant dependencies in the project handoff. The client is responsible for ensuring compliance with those licences post-handoff.

4.4 Portfolio Rights

Unless the client requests confidentiality in writing, KELVION TECH reserves the right to reference the project in its portfolio, case studies, and marketing materials without disclosing proprietary technical or business details.

5. Client Obligations

• Provide timely, accurate project requirements, feedback, and approvals as requested. Delays caused by missing client input may extend the project timeline without additional cost to KelvionTech.
• Provide access to necessary third-party systems, credentials, or accounts required to complete deliverables. KelvionTech is not liable for delays caused by restricted access.
• Ensure that any content, data, or assets provided to KelvionTech do not infringe the intellectual property or privacy rights of any third party.

6. Acceptable Use of This Website

You agree not to:

• Use kelviontech.in for any unlawful purpose or in violation of applicable Indian law.
• Probe, scan, test, or exploit the security of this website without prior written authorisation.
• Transmit malicious code, spam, or unsolicited commercial communications through any form on this website.

7. Service Availability & Warranties

We work to maintain this website reliably but do not warrant uninterrupted access or guarantee a specific uptime SLA for kelviontech.in itself. For client project deliverables, any specific performance warranties are defined in the project SoW.

Except as expressly stated in a project SoW, services are provided "as is" without any implied warranty of merchantability or fitness for a particular purpose, to the maximum extent permitted by applicable law.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• KELVION TECH, its proprietor, and any collaborators shall not be liable for indirect, incidental, special, or consequential damages arising from your use of this website or from a client engagement.
• Our aggregate liability for any claim arising from a client engagement shall not exceed the total fees paid by the client for the specific milestone to which the claim relates, in the 3 months immediately preceding the claim.
• We are not liable for losses resulting from your own failure to provide accurate requirements, timely feedback, or necessary system access.

9. Dispute Resolution & Grievance Redressal

In the event of a dispute, the parties agree to first attempt resolution through good- faith discussion. Unresolved disputes should be raised formally with our Grievance Redressal Officer before any legal proceedings are initiated.

10. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act, 2000 and rules thereunder. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the competent courts situated in Ahmedabad, Gujarat, India.

11. Amendments

KELVION TECH reserves the right to update these Terms at any time. The revised Terms will be published on this page with an updated effective date. Continued use of this website or ongoing project engagement after an update constitutes acceptance of the revised Terms.
